How to Manage License Agreements

This article explains how to record license agreements, grants, amendments, and terminations in ArcPrime, and how each patent shows the encumbrances attached to it.

Prerequisites

  • Your role includes license access. Administrators, inhouse counsel, and paralegals have it by default; creating and editing agreements requires write access. See Understanding User Roles and Permissions.

Steps

Creating an Agreement

  1. Open Patents > Portfolio > Licenses from the navigation bar.

  2. Click New Agreement.

  3. Enter the Title and Execution Date, complete any custom fields your workspace has configured, and click Create Agreement. The agreement detail page opens.

Adding a Grant

  1. On the agreement detail page, click Add Grant in the Grants section.

  2. Enter the Counterparty and choose the Patent scope: Internal patents from your portfolio or External patents by number.

  3. Select the Exclusivity and the Term: a Fixed end date or Patent expiry.

  4. Under Internal Patents, search by internal docket number and select each patent. Turn on Include future continuations and divisionals to cover later family members automatically.

  5. Add the Field of use, Territory, Sublicensable, Assignable, and Improvement rights terms as needed, then click Add Grant.

Amending or Terminating

  1. Click Add Amendment in the page header to record a numbered amendment with its effective date and any changed terms. Click Save Amendment.

  2. Click Terminate to end the agreement. Enter the Termination effective date and click Create Termination Amendment.

  3. Every change is kept as a version. Open Version History to see the timeline of what changed, with before and after values.

Attaching Documents and Notes

  1. In the Documents section, upload the master agreement, amendments, side letters, or royalty reports.

  2. Click the notes icon in the header to add internal notes to the agreement.

Exporting the Encumbrance Schedule

  1. On the Licenses page, click the export icon.

  2. Choose an As-of date, a Patent scope (entire portfolio, a screening project, a patent family, or a list of patents), and PDF or CSV format.

Seeing Encumbrances on a Patent

Every encumbered patent shows a Licenses card on its detail page. Each row lists the agreement, counterparty, exclusivity, territory, field, and expiry, with a status of Active, Expiring soon, Expired, or Terminated. In the patent list, add the Encumbrances column and click Encumbered to filter to licensed patents before an assertion, sale, or export.

Tip: Use the All, OUT, IN, Covenant, SEP, and Lien row above the table to narrow the page to one agreement type, and the Search agreements box to find an agreement by name.
